1. Eligibility
The Studio Allston Hotel x AEG Presents Roadrunner Giveaway (the “Sweepstakes”) is open only to legal residents of the fifty (50) United States or the District of Columbia, who are at least twenty-one (21) years of age at the time of entry. Employees, officers, and directors (and each of their immediate family members, i.e., parents, legal guardians, children, grandparents, grandchildren, spouses, or siblings and their respective spouses) and those living in their same households, whether or not legally related) of Studio Allston Hotel and/or AEG Presents (collectively, “Sponsor”) and each of their respective parents, affiliates, subsidiaries, and advertising and promotion agencies are not eligible to enter or win the Sweepstakes. By participating, entrants (each, an “Entrant” and collectively, the “Entrants”) acknowledge they have read and agree to comply with and be bound by these “Official Rules,” and the decisions of the Judges (defined below) and/or Sponsor, which are binding and final on matters relating to this Sweepstakes, including, without limitation, interpretation of the Official Rules. 2. Entry Periods
The Sweepstakes entry period begins on or about Tuesday, August 20, 2024, and ends on Wednesday, August 28, 2024, Eastern Daylight Time (“ET”), unless otherwise extended in Sponsor's sole and absolute discretion (the “Sweepstakes Period”).
3. How to Enter
You may enter the Sweepstakes by submitting entries via the Online Method of Entry.
Online Method of Entry
To enter the Sweepstakes, participants must visit the designated landing page at https://www.hotelstudioallston.com/roadrunner/ during the Sweepstakes Period. On the landing page, participants will be required to complete the entry form by providing the requested information, which may include their name, email address, phone number, and any other information specified on the form. Once all required fields are completed, participants must submit the form to finalize their entry. Each individual may submit only one (1) entry during the Sweepstakes Period. Multiple entries from the same individual or email address will be disqualified. Entries generated by script, macro, or other automated means are void. By submitting an entry, participants agree to abide by these Official Rules and any decisions made by the Sponsor, which are final and binding in all matters related to the Sweepstakes.
4. Representations and Warranties
Each Entrant represents and warrants that he or she has read, understands, and will follow the Official Rules. Each Entrant further represents and warrants that he or she has the right to agree to and fully perform consistent with these Official Rules and the consent of no third parties are required to grant the rights hereunder. Entrant further acknowledges and agrees that he/she has not previously granted, assigned, or otherwise hypothecated his/her submission to any other third party.
5. Indemnity
Entrants agree to defend, indemnify and hold harmless the Released Parties from and against all the liabilities, claims, damages, and expenses (including reasonable attorney’s fees and costs) arising out of any breach of any representation, warranty, or covenant made by such Entrant in connection with his or her acceptance of these Official Rules or Sweepstakes activities.
6. Determining the Winner
Sponsor will randomly select one (1) Entrant as the Winner from a random drawing from all eligible entries received during the Sweepstakes Period. Any Entrant selected as Winner shall be referred to as a “Potential Winner” until such time as it can be verified by the Sponsor or its designee that the Potential Winner has complied with these Official Rules and met the terms and conditions set forth herein. Once verified, the Potential Winner shall be declared the Winner. Odds of winning depend on the number of entries received.
7. Winner Notification
The Potential Winner will be notified via the email address provided during entry within five (5) business days after the Sweepstakes Period ends. The notification email will include instructions on how to claim the prize, which may include completing and returning an Affidavit of Eligibility, a Liability Release, and, where lawful, a Publicity Release (collectively, “Prize Acceptance Documents”) within the specified time frame. If the Potential Winner does not respond to the notification email within forty-eight (48) hours or if the email is returned as undeliverable, the Potential Winner will forfeit the prize, and an alternate winner may be selected at Sponsor’s sole discretion. The Sponsor is not responsible for any failure of email communication due to the entrant’s inactive email account, technical difficulties, or any other reason. The prize will be awarded only upon verification by Sponsor that all Sweepstakes requirements have been met.
8. Prize
Each Winner will receive the following (collectively, the “Prize”):
- A complimentary one (1) night stay at Studio Allston Hotel.
- Two (2) General Admission tickets to a concert at AEG Presents Roadrunner. – needs to be a show within a year
TRAVEL ARRANGEMENTS ARE THE SOLE RESPONSIBILITY OF THE WINNER.
Approximate retail value of the Prize is $500. If, for whatever reason, any event associated with the Prize, including the Event, is canceled after the prize is awarded, Sponsor shall not be responsible for awarding the Prize. No compensation will be paid in lieu of a canceled event.
9. General Conditions
By participating in the Sweepstakes, Entrants and their guests (if applicable) agree to be bound by the decisions of Sponsor and its personnel. Released Parties are not responsible for lost, late, incomplete, inaccurate, stolen, misdirected, undelivered, delayed, garbled, or damaged entries; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability, or accessibility, or miscommunications or failed computer, satellite, telephone, or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures, or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing, or otherwise relating to or in connection with the Sweepstakes.
10. Release
By participating in the Sweepstakes, Entrants agree to release, discharge, and hold harmless Instagram, Meta, Inc., Studio Allston Hotel, AEG Presents LLC, Railyard Sports, LLC, Boboland, LLC, The Bowery Presents, LLC, and their affiliated entities from and against any and all claims, liability, costs, losses, damages, or injuries of any kind arising out of or related to Entrants’ participation in the Sweepstakes and/or related to any prize.
11. Suspension / Modification / Termination
In the event Sponsor is prevented from continuing with the Sweepstakes or the Event is canceled by any event beyond its reasonable control, including, but not limited to, fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, communications or equipment failure, utility or service interruptions, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared), interference with the Sweepstakes by any party, or any federal state or local government law, order, or regulation, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each a “Force Majeure” event or occurrence) Sponsor shall have the right to modify, suspend, or terminate the Sweepstakes.
12. Governing Law / Limitation of Liability
These official rules shall be governed in all respects by the internal laws of the commonwealth of Massachusetts without regard to conflicts of law provisions. All claims relating to or arising in connection with the sweepstakes or these official rules must be brought in the federal or state courts located in Massachusetts, USA.
13. Disputes / Arbitration / No Class Relief
Except in cases involving the protection and enforcement of the intellectual property rights of the Released Parties, or where they seek and/or obtain injunctive or equitable relief, any dispute, claim, or cause of action arising out of or related to these Official Rules or the Sweepstakes shall be resolved exclusively through mandatory, binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association (“AAA”) and AAA’s Supplementary Procedures for Consumer Related Disputes. Arbitration will take place in Suffolk County, Massachusetts. The Federal Arbitration Act will govern, overriding any state laws regarding arbitration. The arbitration award will be final and binding, and the prevailing party may seek to enforce it in court. Any legal action not subject to arbitration must be filed in a state or federal court in Suffolk County, Massachusetts, and all parties consent to the jurisdiction of those courts. Entrants waive any right to seek injunctive or other equitable relief and agree not to pursue claims in a class or representative action.
14. Privacy and Data Collection
Information submitted in connection with the Sweepstakes will be managed in accordance with these Official Rules and the Sponsor’s Privacy Policy, available at [Studio Allston Hotel Privacy Policy URL]. Sponsor may require participants to complete an entry form with certain personally identifiable information (“PII”), including but not limited to name, email address, and phone number. Winners may be required to provide additional PII for prize delivery. PII collected may be used for winner notification, prize delivery, and to add Entrants to Sponsor’s and partners’ mailing lists. Acceptance of a prize may result in the publication of some PII on Sponsor’s website, such as on a winners' page.
15. Entire Agreement
These Official Rules constitute the entire agreement between the parties concerning the Sweepstakes. No promises, representations, warranties, or covenants not expressly included in these Official Rules are binding. In the event of a conflict between these Official Rules and any other statements in Sweepstakes-related materials or on the Sweepstakes Platform, these Official Rules shall control.
16. Severability
If any provision of these Official Rules or related documents is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. However, this severability will not be effective if it alters the fundamental terms of the agreement.
17. Waiver
By participating, Entrants waive any right to challenge the clarity or enforceability of these Official Rules. Sponsor’s failure to enforce any provision of these Official Rules at any time does not constitute a waiver of that provision or any other provision. Sponsor reserves the right to enforce any provision of these.
